How it happened

Science 37 built a platform for running clinical trials remotely, with patients at home. It merged with the SPAC LifeSci Acquisition II Corp in October 2021 at an announced $1.05B enterprise value, and the stock traded at a market capitalization of roughly $1.4-1.6B late that year.

When pandemic-era trial volumes fell and sales cycles lengthened, revenue stalled and the shares collapsed, forcing a 1-for-20 reverse split in December 2023 to keep its Nasdaq listing. In January 2024 the telehealth and diagnostics company eMed agreed to buy Science 37 in an all-cash tender offer of $5.75 a share, valuing the equity at about $38M, and the deal closed that March.

Glassdoor reviews from the SPAC years were among the lowest here, describing disorganized leadership and repeated rounds of layoffs.

Source: BioSpace / company: de-SPAC with LifeSci Acquisition II Corp consummated Oct 6, 2021 (announced May 7, 2021) at a ~$1.05B announced enterprise value; the FY2021 10-K shows 115,493,635 shares, and late-2021 prices of ~$9.37-$12.47 imply a ~$1.1-1.5B traded market capitalization (MedCity / Global Genes cite ~$1.6B in Nov 2021). GlobeNewswire / SEC (Jan 29, 2024): eMed all-cash tender at $5.75/share (~$38M equity) via Marlin Merger Sub, after a 1-for-20 reverse split (Dec 8, 2023); deal completed Mar 12, 2024. Peak keyed to the late-2021 traded market cap. Founded 2014 by dermatologists Noah Craft and Belinda Tan; David Coman joined as CEO in 2019.
